Terms of Service

By accessing or using LegalAI ("the Service"), you ("User," "you," or "your firm") agree to these Terms of Service ("Terms"), our Privacy Policy, and our Trust & Security documentation.
1. Acceptance and applicability
These Terms apply to licensed attorneys and law firms, solo practitioners and small-firm practices, and organizations a User authorizes to access the Service.
By using LegalAI you acknowledge that:
- You are a licensed attorney or an authorized representative of a law firm.
- You are using LegalAI to process confidential client information and privileged legal data.
- You understand that LegalAI may process Protected Health Information (PHI) and other regulated data.
- You are responsible for compliance with HIPAA, state-bar rules, and professional-responsibility standards.
- You have reviewed and accepted our Privacy Policy and understand our security practices.
2. Business Associate Agreement & HIPAA
HIPAA-covered entities
If your firm handles PHI as defined by HIPAA, LegalAI operates under a signed BAA with Google Cloud that extends to your use of the Service. You may request a copy of our BAA and HIPAA compliance documentation at any time. LegalAI certifies compliance with the HIPAA Security Rule (45 CFR §§ 164.300–318) and Privacy Rule (45 CFR §§ 164.500–534).
Non-HIPAA entities
Even if your firm does not handle PHI, LegalAI's infrastructure is HIPAA-certified and provides the same level of encryption and access controls.
Your responsibility
- Determining whether your use of LegalAI involves PHI or other regulated data.
- Ensuring your firm complies with all applicable privacy laws (HIPAA, state-bar rules, attorney-client privilege standards).
- Maintaining confidentiality of client data stored in LegalAI.
- Notifying clients, if required, of your use of LegalAI for their data.
3. Authorized use
Permitted uses
- Store, organize, and manage confidential client information and legal matters.
- Use AI agents to assist with legal analysis, research, and document drafting.
- Collaborate with authorized team members on cases and matters.
- Maintain audit trails and access logs of data usage.
- Export data in bulk or for legal-hold/discovery purposes.
Prohibited uses
- Circumventing or attempting to bypass security controls or encryption.
- Accessing data belonging to other customers or workspaces.
- Violating applicable law, professional-responsibility rules, or ethics obligations.
- Uploading malicious code, ransomware, or malware.
- Reverse-engineering or attempting to compromise the Service.
- Using the Service in violation of attorney-client privilege.
- Disclosing another person's data without authorization or legal authority.
- Violating client-confidentiality obligations.
4. Account responsibility and security
Your responsibilities
- Credential management: you are solely responsible for the confidentiality of login credentials and API keys.
- Session security: keep devices and sessions secure; log out before leaving a device or ending work.
- Authorized users: you decide who in your firm can access your workspace.
- Immediate notice: notify your workspace administrator and LegalAI immediately if you suspect unauthorized access, credential compromise, or a security breach.
- Audit logs: review audit logs regularly to detect unauthorized access.
LegalAI's security responsibilities
- Encryption: all data encrypted at rest (AES-256) and in transit (TLS 1.2+).
- Access controls: authentication and role-based access enforced server-side.
- Infrastructure: SOC 2 Type II, ISO 27001, and HIPAA-compliant.
- Breach response: on discovery of unauthorized access to your data, we notify you within 24 hours with details and recommended actions.
5. AI-generated output and professional responsibility
LegalAI agents are AI tools, not lawyers. They assist with task execution but do not replace your independent legal judgment. You retain full professional responsibility for:
- Accuracy and completeness: review and validate all agent-generated output before relying on it.
- Professional review: personally review output for compliance with ethical rules, court rules, and applicable law before use in client matters, filings, or communications.
- Final decisions: all decisions about strategy, filings, settlement, and client advice remain yours.
- Liability: you are liable for any errors or omissions in agent output that you rely on without independent review.
What agents can do
- Summarize documents and extract key information.
- Draft motions, briefs, and correspondence for your review and editing.
- Analyze case law and legal precedents.
- Organize and classify documents.
- Research legal standards.
What agents cannot do
- Replace your independent legal judgment.
- Guarantee the accuracy of any legal analysis.
- Provide personalized legal advice.
- Make strategic decisions on your behalf.
- Eliminate the need for professional review.
Your obligation to clients
You must disclose to clients (as required by your state bar) that you use AI tools to assist with their matters. State-bar rules vary; consult your ethical obligations.
6. Data accuracy and validation
Your responsibility. Ensure the accuracy of the data you upload, validate that documents are correctly classified and stored, correct outdated information, mark confidential or privileged material appropriately, and review agent-generated outputs before use.
Our responsibility. We maintain the integrity and availability of the data you store with us. We do not validate the legal accuracy or completeness of your data.
7. Service availability (SLA)
Uptime commitment
LegalAI commits to 99.5% uptime for the Service, measured on a monthly basis. "Uptime" means the ability to upload documents, view data, and use core features. The measurement period is a calendar month, excluding planned maintenance windows.
Planned maintenance
Planned maintenance runs on Sundays, 11 PM – 1 AM Pacific Time, with at least 48 hours' notice. Critical security updates may require shorter notice.

To claim credits, contact info@legalai.com with the dates and times of the outage within 30 days of the incident.
Excluded downtime
Service credits do not apply to downtime caused by your actions, by third-party services outside our control, by force majeure events, or by scheduled maintenance.
8. Fees, billing, and termination
Fees, billing cadence, and any trial terms are set out in your subscription order or invoice. Subscriptions renew on the cycle stated at signup unless cancelled. You may terminate at any time from your account settings or by contacting info@legalai.com; we may terminate for material breach of these Terms or for non-payment.
9. Intellectual property
You retain all rights to data you upload to LegalAI and to outputs generated from your data. We retain all rights to the Service, including the software, models, infrastructure, and documentation. We grant you a non-exclusive, non-transferable license to use the Service under these Terms.
10. Disclaimers and limitations of liability
The Service is provided "as is" and "as available." To the maximum extent permitted by law, LegalAI disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, LegalAI's aggregate liability to you for any claim arising out of or related to the Service is limited to the fees you paid us in the twelve months preceding the claim. LegalAI is not liable for indirect, incidental, consequential, special, or punitive damages.
11. Indemnification
You agree to indemnify and hold harmless LegalAI from claims arising from your use of the Service in violation of these Terms, your professional responsibilities, applicable law, or the rights of any third party.
12. Governing law
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in San Francisco County, California.
13. Changes to these Terms
We may update these Terms to reflect changes in our service, compliance requirements, or legal obligations. We will notify you of material changes by email at least 30 days in advance. Continued use of LegalAI constitutes acceptance.
